Northgate Learning Studio Ltd provides education-focused content and events, including:

• Live webinars and masterclasses with practical demonstrations and Q&A
• Programs in languages, AI fundamentals, programming, and digital skills

You agree to use the Site and Services lawfully and respectfully. In particular, you agree not to:

• Violate any applicable laws or regulations in Canada or your location

• Interfere with site security, attempt unauthorized access, or introduce malware

If a course includes community participation or live Q&A, you must follow any posted participation rules designed to keep sessions constructive and focused.

All content on the Site, including text, graphics, logos, course materials, slides, worksheets, recordings, and design elements, is owned by or licensed to Northgate Learning Studio Ltd and is protected by intellectual property laws.

Limited license: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and materials for your personal learning purposes only.

You may not reproduce, distribute, publicly display, sell, sublicense, or create derivative works from our materials without our prior written permission, except where explicitly allowed in writing as part of a specific program.

Educational purpose only: All information and materials are provided for educational purposes only and are not a substitute for professional advice.

Guest experts: Some sessions may include guest specialists. Participation of an expert does not imply endorsement of any product or guarantee of outcomes.

No guarantees: We do not offer financial, career, or professional guarantees. Your outcomes depend on many factors, including prior experience, practice time, and how you apply the material.

"As is" basis: The Site and Services are provided on an "as is" and "as available" basis. We do not warrant that the Site will be uninterrupted or error-free.

To the maximum extent permitted by applicable Canadian law, Northgate Learning Studio Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Services.

Cap on direct liability: To the extent liability cannot be excluded, our total direct liability for claims relating to the Site or Services is limited to the amount you paid to us for the specific Service giving rise to the claim during the three (3) months immediately before the event that led to the claim.

Some provinces or territories may not allow certain limitations of liability. In those cases, the limitations apply to the fullest extent permitted in your jurisdiction.

You agree to indemnify and hold harmless Northgate Learning Studio Ltd, its directors, officers, employees, contractors, and instructors from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your misuse of the Site or Services
• Your infringement of any intellectual property or other rights of any person or entity

The Site may include links to third-party websites or services. We do not control those third parties and are not responsible for their content, policies, or practices.

Accessing third-party links is at your own risk. You should review the terms and privacy policies of any third-party website you visit.

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information, including cookie choices and advertising disclosures.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to the dispute resolution section below, you agree that courts located in Toronto, Ontario will have jurisdiction over disputes relating to these Terms or your use of the Site.

Informal resolution first: If a dispute arises, you agree to contact us first and attempt to resolve the issue informally by emailing [email protected]. Please include your name and a clear description of the issue.

If we cannot resolve the dispute informally within thirty (30) days, either party may bring the claim in the courts of Toronto, Ontario, unless applicable law provides you with non-waivable rights to bring a claim in another forum.

We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms or engaged in unlawful or harmful activity relating to the Site or Services.

Termination does not limit any other rights or remedies available to us and does not relieve you of obligations that by their nature should survive termination, including intellectual property protections and limitations of liability.

We may update these Terms from time to time to reflect operational, legal, or regulatory changes. If we make material changes, we will provide notice on the Site at least fourteen (14) days before the updated Terms take effect.

Your continued use of the Site after the effective date of updated Terms constitutes acceptance of the updated Terms.
